General terms and conditions for website assignments
This applies when we build, host and maintain your website. In short: you pay half when we start and half when the site is ready, you own the site once everything is paid, and you help us with material in good time.
Version 1, 29 October 2026. Draft: to be reviewed by a lawyer before the site launches. This is a translation; the Swedish version applies.
1. Parties and scope
These terms apply between Stamis Entreprenad AB, org. no. 559283-5903, which runs the brand Digitalo ("Digitalo"), and the customer. The customer is a business; Digitalo does not take assignments from consumers.
These terms take precedence over the customer's own terms. Where the quote or the order confirmation says otherwise, that takes precedence over these terms.
The agreement applies once the customer has accepted the quote in writing, including by e-mail.
2. The assignment
What is included is stated in the quote. Everything else is an addition.
Additions and changes are carried out once the parties have agreed on them in writing, including by e-mail, and are charged as agreed or otherwise on a time basis at Digitalo's hourly rate in force at the time.
Digitalo decides how the work is carried out and which tools are used (including AI tools), and may engage subcontractors. Digitalo is responsible for the subcontractors' work as for its own.
3. The customer's involvement
The customer provides texts, images, logos, logins and answers to questions within five working days of Digitalo asking for them.
The customer is responsible for the material being correct and for having the right to use it, and indemnifies Digitalo if anyone else claims compensation for the material.
If the customer's involvement is delayed, the timetable moves by the same amount. If the customer has not taken part for 30 days despite a reminder, Digitalo may end the assignment and invoice the work carried out.
4. Timetable
Times in the quote, such as "about a week", are estimates that assume the customer takes part as set out in section 3. Delays do not give a right to liquidated damages, deductions or termination unless they are due to gross negligence on Digitalo's part.
5. Delivery and acceptance
The customer reviews the delivery within five working days and reports faults in writing, with a description of the fault.
The delivery is accepted when that time has passed without a report, or earlier when the website is published or used in the customer's business.
Minor faults that do not prevent use do not prevent acceptance; they are corrected free of charge within a reasonable time.
6. Price and payment
Prices are stated in Swedish kronor excluding VAT.
Fixed prices are invoiced with 50 per cent when the assignment starts and 50 per cent on delivery. Hosting and maintenance are invoiced monthly in advance.
Payment terms are ten days net. In the event of late payment, default interest is charged under the Interest Act (1975:635), together with a reminder fee and compensation for late payment under the Act (1981:739) on Compensation for Debt Collection Costs etc.
If an invoice is unpaid 30 days after the due date despite a reminder, Digitalo may stop ongoing work and shut off hosting and maintenance until everything is paid. Shutting off does not release the customer from payment.
Prices for ongoing services may be changed with one month's written notice.
7. Third-party services and licences
The website is built on services from others, such as web hosting, domain, e-mail, payment services and add-ons. The terms of each supplier also apply to them, and Digitalo is not responsible for their function, prices or outages.
The customer may use add-ons that Digitalo holds a licence for for as long as the customer has hosting or maintenance with Digitalo. If that ends, the customer needs licences of their own.
Licences that the customer is to pay for, for example for a customer register or a support desk, are stated in the quote and taken out in the customer's name or invoiced to the customer.
8. Rights
The customer owns their own material: texts, images, logos and data.
Once everything is paid, the customer receives a perpetual and irrevocable right to use and change the delivered website and its design in their own business. Until then, Digitalo retains all rights.
Digitalo retains ownership of its template, its code, its tools, methods and general solutions used in several assignments. The customer receives a perpetual, non-exclusive right to use them in the delivered website, but not to sell or distribute them further.
Digitalo may show the assignment among its references and has a discreet line in the website's footer with a link to Digitalo, unless otherwise agreed.
9. Hosting and maintenance
Hosting costs 250 kronor a month. Maintenance and development, including hosting, costs about 1 500 kronor a month as set out in the quote. Changes during the first month after delivery are included.
The agreement runs month to month with one calendar month's notice, unless otherwise agreed.
Digitalo keeps the software up to date and takes backups according to the web host's routines. Digitalo works for high availability but does not promise that the website is always available.
When the agreement ends and everything is paid, the customer receives a copy of the website's files and database within 30 days. Help with moving is charged on a time basis.
10. Personal data
When Digitalo processes personal data on the customer's behalf, Digitalo is the processor and the customer the controller. Digitalo's data processing agreement then applies and forms part of the agreement.
The customer is responsible for the website's privacy notice, consents and cookies meeting the law for the customer's business.
11. Faults and liability
Digitalo corrects free of charge faults in what Digitalo delivered that are reported within 30 days of delivery. That is the customer's only remedy for faults, as long as the fault is corrected within a reasonable time.
Digitalo is not liable for indirect loss, such as loss of profit, lost turnover, lost data or damage to third parties.
Digitalo's total liability is limited to the amount the customer has paid for the assignment, and for ongoing services to the fees for the last twelve months.
Claims must be made in writing no later than three months after the customer noticed or should have noticed the fault.
The limitations do not apply if Digitalo caused the damage intentionally or through gross negligence.
The customer is responsible for the website's content and for the business complying with the laws that apply to it, for example on marketing, prices and permits. Digitalo does not give legal advice.
12. Force majeure
Neither party is liable for delays or faults caused by something outside that party's control, such as outages at the web host or internet provider, cyber attacks, decisions by authorities, strikes, fire or illness.
13. Confidentiality
The parties keep confidential what they learn about each other's business that is not generally known, also after the agreement has ended. This does not prevent Digitalo from showing the published website among its references.
14. Termination for breach
A party may terminate the agreement if the other party materially breaches it and does not remedy this within 30 days of written notice, or if the other party goes bankrupt, enters company reconstruction or can otherwise be assumed to be insolvent.
If the agreement is terminated, the customer pays for the work carried out up to the termination.
15. Changes and assignment
Digitalo may change the terms for ongoing services with 30 days' written notice. The customer may then cancel the service with effect from the day the change takes effect.
The customer may not transfer the agreement without Digitalo's written consent.
16. Governing law and disputes
Swedish law applies. Disputes are settled by a general court, with the Stockholm District Court as the court of first instance.
